STANDARD TERMS AND CONDITIONS OF SALE

(“Tiger”, “we”, “us”, or “our”)
Effective Date: January 1, 2026
1. APPLICATION OF TERMS
1.1 These Terms and Conditions (“Terms”) govern all sales of goods by 2143682 Ontario Ltd. operating as Tiger Safety Footwear to the purchaser (“Buyer”).
1.2 These Terms apply to all orders, invoices, shipments, and transactions unless expressly modified in a written agreement signed by Tiger.
1.3 Buyer’s submission of a purchase order, acceptance of delivery, or payment of an invoice constitutes acceptance of these Terms.
1.4 Any terms proposed by Buyer are expressly rejected and shall have no force or effect unless agreed to in writing by Tiger.
2. ORDERS & ACCEPTANCE
2.1 All orders are subject to final acceptance by Tiger.
2.2 Tiger reserves the right to refuse, cancel, or limit any order at its sole discretion prior to shipment.
2.3 Orders may not be cancelled or modified without Tiger’s prior written consent.
3. PRICING & PAYMENT
3.1 Prices are those listed on the applicable invoice.
3.2 Prices may change without notice prior to order confirmation.
3.3 Payment terms are NET 30 unless otherwise stated in writing.
3.4 Overdue amounts accrue interest at 2% per month (24% per annum) or the maximum permitted by law.
3.5 Buyer shall be responsible for all collection costs, including legal fees on a substantial indemnity basis.
3.6 Tiger may suspend shipments or revoke credit at any time if Buyer is overdue.
4. DELIVERY, TITLE & RISK
4.1 Delivery dates are estimates only.
4.2 Risk of loss passes to Buyer upon delivery to the carrier.
4.3 Title to goods remains with Tiger until full payment is received.
4.4 Until title transfers, Buyer holds goods in trust for Tiger and shall not encumber, pledge, or otherwise dispose of them outside the ordinary course of business.
5. SHORTAGE, DAMAGE & ACCEPTANCE
5.1 Buyer must inspect goods immediately upon receipt.
5.2 All claims for shortage, damage, defect, or discrepancy must be submitted in writing within ten (10) days of receipt.
5.3 Failure to provide written notice within this period constitutes irrevocable acceptance of the goods.
5.4 No returns will be accepted without prior written authorization and issuance of a Return Authorization number.
5.5 Unauthorized returns will be refused.
6. RETURNS
6.1 Authorized returns may be subject to a restocking fee of up to twenty-five percent (25%).
6.2 Goods must be new, unworn, and in original packaging.
6.3 Custom orders, discontinued items, clearance goods, and special production items are final sale.
7. LIMITED WARRANTY
7.1 Tiger warrants products to be free from material manufacturing defects for ninety (90) days from delivery.
7.2 This warranty does not cover:
Normal wear and tear
Improper use
Improper storage
Misuse or alteration
Failure to follow care instructions
7.3 Tiger’s sole obligation shall be repair, replacement, or credit at its sole discretion.
7.4 Except as expressly provided herein, all warranties, express or implied, including merchantability or fitness for a particular purpose, are disclaimed to the maximum extent permitted by law.
8. LIMITATION OF LIABILITY
8.1 Tiger’s total liability shall not exceed the purchase price of the goods giving rise to the claim.
8.2 Tiger shall not be liable for lost profits, loss of business, loss of goodwill, or any indirect, incidental, special, or consequential damages.
8.3 Buyer assumes all risk associated with resale of products.
9. INTELLECTUAL PROPERTY & BRAND CONTROL
9.1 All trademarks, product images, marketing materials, packaging, and brand assets are the exclusive property of Tiger.
9.2 Buyer shall not, without prior written authorization:
Register any Tiger trademark or variation thereof
Apply for brand registry status
Alter product listings
Modify product descriptions
Change parent-child ASIN relationships
Remove, edit, or manipulate reviews
Create derivative listings
Interfere with Tiger’s marketplace listings
Use Tiger brand assets beyond approved purposes
9.3 Buyer acknowledges that unauthorized marketplace control or brand registry interference constitutes material breach causing irreparable harm to Tiger.
9.4 Tiger reserves the right to immediately terminate supply and pursue all available legal remedies for breach.
10. ONLINE SALES RESTRICTIONS
10.1 Buyer shall not sell Tiger products on:
Amazon
Walmart Marketplace
eBay
Etsy
Alibaba
Or any third-party online marketplace
without prior written authorization from Tiger.
10.2 Unauthorized online resale constitutes material breach of these Terms.
10.3 Tiger reserves the right to immediately terminate supply for unauthorized diversion.
11. NO AGENCY
Buyer is an independent purchaser and not an agent, partner, or representative of Tiger.
12. CONFIDENTIALITY
Buyer shall not disclose pricing, wholesale terms, supplier information, or proprietary business information.
13. FORCE MAJEURE
Tiger shall not be liable for delay or failure caused by events beyond its reasonable control, including supply chain disruption, tariffs, shipping delays, labour disputes, or government action.
14. GOVERNING LAW
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
The parties submit to the exclusive jurisdiction of the courts of Ontario.
15. SEVERABILITY
If any provision is found unenforceable, the remainder shall remain in full force and effect.
16. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the parties regarding the sale of goods unless superseded by a written agreement signed by Tiger.
